engira group A/S has four share classes: A1, A2, A3 and B. All shares have a nominal value of DKK 1 and carry one vote per share.
As a non-listed company, engira’s shares are subject to certain transfer restrictions. In particular, transfers of A-Series shares are subject to a pre-emption right held by engira and, subsequently, the B-shareholder(s). The Articles of Association also set out specific provisions concerning the transfer of B-shares.

What is engira?
engira group A/S is an international energy company focused on renewable energy. The company develops, owns and operates solar PV assets across a number of markets.
engira was established through the merger of several former Obton-related companies and investment structures. Today, the company operates as one integrated business.
What happened to my previous investment in Obton?
As part of the merger, the previous investments were converted into shares in engira group A/S.
Instead of shares in Obton Impact, Obton Stabil or Obton Fond 1, you now own shares in engira group A/S. The number and share class are shown in your securities account and in the company’s shareholder register.
The former Obton investment funds mentioned above were dissolved as part of the merger.
What does the name change from Renewable Energy Company to engira mean?
The merged company was temporarily named Renewable Energy Company before changing its name to engira in 2026.
The name change does not affect your ownership or your shares. It marks the company’s transition to the engira name.
What is the value of my engira shares?
The latest published share price is DKK 19.90 per share.
The share price is calculated based on the company’s valuation and the financial information provided in the annual report and is updated annually.
The calculated share price serves as a valuation basis for the shares. It does not necessarily reflect the price at which the shares can be sold in an individual transaction.
How is the share price determined?
The share price is calculated based on the company’s valuation and the information provided in the latest annual report.
The valuation is based on the value of the equity of the parent company.
When is the share price updated?
The share price is updated once a year in connection with the publication of the annual report.
How many shares are there in engira?
The nominal share capital amounts to DKK 99,888,385, divided into:
- A1 shares: DKK 38,687,091
- A2 shares: DKK 45,074,761
- A3 shares: DKK 1,143,275
- B shares: DKK 14,983,258
A1, A2 and A3 shares are collectively referred to as A-Series shares.

Can I sell my shares?
Yes. A-Series shares can be sold, but any sale is subject to the provisions of the company’s Articles of Association, including the pre-emption rights.
If you wish to sell your A-Series shares, you must therefore follow the procedure set out in the Articles of Association.

What does the pre-emption right mean?
If you wish to sell your A-Series shares, engira group A/S has a primary pre-emption right.
If engira does not exercise its pre-emption right, the B shareholder has a subsidiary pre-emption right.
The pre-emption right can only be exercised for the purchase of the entire shareholding offered for sale.
How do I initiate a sale of my A-Series shares?
You must submit a written offer to the Chair of the Board at contact@engira.com.
The offer must include, among other things:
- the price at which the shares are offered
- the other terms and conditions of the sale
- the identity of any third-party buyer
- the terms of any offer from a third party

How long does engira have to decide whether to purchase the shares?
engira has two weeks from the date the offer is sent to notify the seller whether the company wishes to exercise its pre-emption right.
If engira does not exercise its pre-emption right, the B shareholder then has two weeks to decide whether to purchase the shares.
What happens if neither engira nor the B shareholder purchases the shares?
If the B shareholder does not wish to purchase the entire shareholding offered for sale, the pre-emption right lapses.
The seller may then, within six months, transfer the shares to a third party on terms that are the same as or objectively more favourable to the seller than the terms offered to engira and the B shareholder.
Does engira help find a buyer?
No.
engira does not operate as a trading platform or facilitate contact between buyers and sellers.
If neither engira nor the B shareholder exercises their pre-emption right, it is therefore the seller’s responsibility to find a buyer.
engira can provide guidance on the formal process and the required documentation.
How is a share transfer completed?
Once the buyer and seller have entered into an agreement, the transaction must be completed in accordance with the company’s Articles of Association.
The shares are dematerialised and registered through Euronext/VP Securities A/S. The shares are registered in the shareholder’s name and recorded in the company’s shareholder register.
Can I transfer my shares to another securities account?
Yes.
The shares are registered through Euronext/VP Securities A/S, and rights relating to the shares must be reported in accordance with the rules of Euronext/VP Securities.
For a transfer to another securities account, you should contact your bank, which will handle the practical transfer.
The shares are subject to a transfer restriction. This means that the bank must contact engira at contact@engira.com to have the transfer restriction removed when the shares are transferred to another securities account.
Can I transfer my shares to a family member?
This depends on the specific circumstances of the transfer.
As A-Series shares are subject to pre-emption rights, you should contact engira before transferring shares to a family member or another person.
If the transfer takes place as part of the ordinary succession of an estate, it will not trigger the pre-emption right.
What happens to my shares in the event of inheritance?
If shares are transferred as part of an inheritance, the transfer must be properly registered.
Please contact engira if you or the estate have any questions about the practical process.
What does it mean for my shares to be registered in my name?
This means that you are registered as a shareholder in the company’s shareholder register with your name and contact details.
When your shares are registered in your name, engira can communicate directly with you as a shareholder and send you, among other things, notices of general meetings, annual reports and other investor information.
Are my shares automatically registered in my name?
No. Registration of shares in your name does not happen automatically.
It is your responsibility to ensure that your shares are registered in your name if they are not already registered. This applies, for example, when you acquire shares or when you change bank or securities account.
Registration is handled through your bank. We recommend having your shares registered in your name so that engira can communicate directly with you as a shareholder.

How do I have my shares registered in my name?
Registration of shares in your name is handled through your bank.
You should contact your bank and ask them to register your engira shares in your name. Your bank can provide information about the specific procedure.
Can I obtain documentation of my shareholding?
Yes. If you need documentation of your shareholding, you can contact engira at contact@engira.com.
You can also view your shareholding through Euronext’s investor portal, which you can access here.
Where can I find my tax documents?
Tax documents relating to your investments can be requested from engira. This is only relevant for former investors in Obton companies.
Following the conversion from a P/S to an A/S in 2025, tax documents are no longer issued.

Where can I find annual reports and financial statements?
Annual reports and other publicly available investor information can be found on the engira website under Investor.
Why is there no annual report for my former fund for 2025?
As a result of the merger, the activities of the former companies were consolidated into engira. The funds were subsequently dissolved.
This means that financial reporting following the merger is carried out at engira group level, and no separate financial statements are prepared for the former funds.
